ANGUS INTELLIGENCE, LLC – TERMS OF SERVICE AND SOFTWARE LICENSE

Effective Date: September 19, 2026

Last Updated: September 19, 2026

These Terms of Service and Software License (the “Terms”) govern your access to and use of Angus Intelligence® services, including the Angus4Law™ platform, Functional Intelligence™ Layer, Angus Station™ offerings, websites, applications, features, APIs, documentation, and related services (collectively, the “Platform”).

The Platform is provided by Angus Intelligence, LLC, 5900 Balcones Drive, Suite 100, Austin, Texas 78731, United States (“Angus,” “we,” “us,” or “our”).

By clicking an acceptance button, creating an account, purchasing a subscription, accessing, or using the Platform, you agree to these Terms. If you do not agree, you may not access or use the Platform.

If you use the Platform on behalf of a law firm, company, government entity, legal department, or other organization, you represent and warrant that you have authority to bind that organization. In that case, “Customer,” “you,” and “your” refer to that organization and its authorized users, as applicable.

1. Platform; Scope of Terms

1.1 Platform

Angus provides technology tools intended to assist with legal research workflows, document analysis, drafting, writing review, evidence and timeline work, matter organization, persistent matter context, usage reporting, and related professional workflows.

The Platform may use software, databases, retrieval systems, structured data, rules-based processes, artificial-intelligence systems, third-party model providers, customer-authorized research sources, and other computing services.

1.2 Not Legal Services

Angus is a technology company. Angus is not a law firm, does not practice law, does not provide legal advice, and does not represent customers or their clients.

Nothing made available through the Platform—including any draft, analysis, citation, research result, timeline, evidence report, recommendation, or other Output—constitutes legal advice, a legal opinion, legal representation, or a substitute for independent professional judgment.

1.3 Related Documents

These Terms incorporate by reference:

If Customer has entered into an executed Enterprise Master Services Agreement, order form, Data Processing Addendum, BYOK addendum, Angus Station agreement, or another separately negotiated written agreement with Angus, that agreement controls to the extent it conflicts with these Terms.

2. Eligibility and Accounts

2.1 Eligibility

You must be at least eighteen (18) years old and capable of entering into a binding agreement to use the Platform.

The Platform is intended for professional, educational, business, government, and organizational use. Customers remain responsible for determining whether their use of the Platform is permitted by applicable law, professional obligations, employer policies, client agreements, court orders, and third-party contracts.

2.2 Account Registration

You must provide accurate, current, and complete information when creating or administering an account. You must promptly update that information if it changes.

You may not create an account using false or misleading information, another person’s identity, or an email address or payment method that you are not authorized to use.

2.3 Account Security

You are responsible for:

  • safeguarding passwords, magic links, access keys, and other credentials;
  • maintaining the security of devices used to access the Platform;
  • controlling access by your Authorized Users;
  • promptly notifying Angus of suspected unauthorized access or misuse; and
  • ensuring that each Authorized User complies with these Terms.

You may notify Angus of suspected account or security issues at security@angus-intelligence.com or support@angus-intelligence.com.

2.4 Authorized Users

Customer may allow its employees, attorneys, staff, contractors, consultants, students, or other authorized personnel to use the Platform only within the applicable subscription, license, and account limits.

Customer is responsible for all activity carried out through its account or by its Authorized Users.

2.5 Individual and Firm Environments

Individual or self-service subscribers receive direct access to their own Angus4Law environment.

Firm deployments may be governed by a separate written firm agreement and configured according to the applicable plan and deployment. In eligible firm environments, Angus may support firm administration, attorney assignments, matter assignments, and access controls based on the firm’s configuration and agreement.

Matter Data associated with a firm environment remains with the firm when an attorney, employee, contractor, or other user leaves the firm. An individual user does not acquire a right to remove or transfer firm Matter Data through an individual Angus account.

3. License Grant and Restrictions

3.1 Limited License

Subject to your compliance with these Terms and payment of all applicable fees, Angus grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the applicable subscription period to access and use the Platform for Customer’s internal professional, educational, organizational, or business purposes.

The Platform is licensed, not sold.

3.2 License Limits

Customer’s use is subject to applicable plan limits, including limits concerning:

  • licensed users or seats;
  • tokens;
  • document uploads;
  • storage;
  • research workflow calls;
  • Drafting Lab drafts;
  • Writing Lab sessions;
  • Custom AI Modes;
  • APIs;
  • integrations;
  • exports; and
  • other limits identified in Customer’s plan, order form, or pricing page.

Angus may enforce applicable plan limits by restricting, pausing, or disabling a feature until Customer upgrades, purchases additional capacity, or the applicable usage period resets.

3.3 Prohibited Conduct

Customer will not, and will not permit any person to:

  1. access or use the Platform in violation of law, court order, professional obligation, third-party right, or these Terms;
  2. upload, submit, or process data without the authority, consent, or legal basis required to do so;
  3. use the Platform to provide false, deceptive, fraudulent, unlawful, harassing, discriminatory, or infringing content or services;
  4. use the Platform to fabricate, alter, conceal, destroy, or misrepresent evidence, records, citations, legal authorities, or other materials;
  5. use the Platform to impersonate a person or misrepresent an Output as independently verified, attorney-reviewed, or human-generated when it is not;
  6. submit malware, malicious code, harmful content, or material designed to interfere with the Platform;
  7. bypass or circumvent security controls, access restrictions, plan limits, token limits, authentication mechanisms, or technical safeguards;
  8. interfere with the operation, integrity, availability, or security of the Platform;
  9. reverse engineer, decompile, disassemble, decode, or otherwise attempt to discover the source code, models, architecture, algorithms, system prompts, methods, or non-public interfaces of the Platform, except to the extent a restriction is prohibited by applicable law;
  10. scrape, crawl, harvest, copy, extract, benchmark, or systematically collect Platform content, data, Outputs, or interfaces except through an expressly authorized API;
  11. use the Platform, Customer Data, Outputs, or Platform access to train, fine-tune, evaluate, benchmark, validate, or improve a competing model, legal-technology service, software platform, or product;
  12. rent, lease, sell, distribute, sublicense, assign, transfer, or provide unauthorized third-party access to the Platform;
  13. remove, alter, or obscure Angus proprietary notices, trademarks, or branding;
  14. use the Platform to process payment-card data, classified information, controlled government information, export-controlled information, or protected health information unless Angus has expressly agreed in writing to support that use and any required agreement is in effect; or
  15. use the Platform in a manner that could reasonably expose Angus, its providers, other customers, or third parties to security, legal, operational, or reputational harm.

4. Customer Data, Matter Data, and Outputs

4.1 Customer Data

“Customer Data” means information, content, data, files, prompts, documents, records, materials, instructions, configurations, and other data submitted to, uploaded to, stored in, transmitted through, or generated for Customer through the Platform.

Customer Data may include:

  • Matter Data;
  • uploaded documents and extracted text;
  • prompts and chat content;
  • facts, timelines, evidence records, and citations;
  • research results;
  • drafts, reports, work product, and Outputs;
  • Case Memory;
  • Custom AI Modes;
  • user preferences and reasoning profiles;
  • token and usage information; and
  • billing-related matter records.

“Matter Data” means Customer Data associated with a particular matter, case, project, engagement, client, dispute, transaction, or other workspace identified by Customer.

4.2 Customer Ownership and Responsibility

As between Angus and Customer, Customer retains all right, title, and interest in Customer Data, subject to the limited rights granted to Angus in these Terms.

Customer represents and warrants that:

  1. Customer has all necessary rights, permissions, consents, and authority to submit Customer Data to the Platform;
  2. Customer’s use of the Platform and Customer Data will not violate applicable law, contractual obligations, confidentiality duties, privacy rights, intellectual-property rights, court orders, or professional obligations; and
  3. Customer is responsible for obtaining any client consent, authorization, or approval required for Customer’s intended use of the Platform.

4.3 Angus Processing Rights

Customer grants Angus a limited, non-exclusive, worldwide right to host, store, reproduce, process, transmit, analyze, retrieve, format, display, and otherwise use Customer Data only as reasonably necessary to:

  • provide and operate the Platform;
  • perform Customer-requested workflows;
  • provide support and troubleshooting;
  • maintain security and prevent fraud or misuse;
  • enforce these Terms;
  • comply with legal obligations; and
  • maintain limited aggregated, de-identified, or statistical information as permitted by applicable law and the Privacy Policy.

Angus will not sell Customer Data.

4.4 No Training on Customer Data

Angus does not use Customer Data to train, fine-tune, evaluate, benchmark, or improve Angus models or shared/general-purpose models made available to other customers, unless Angus receives Customer’s express written authorization for a specific use.

Additional information about Angus’s AI processing practices is available in the AI Data Use and No-Training Notice.

4.5 Outputs

“Outputs” means content generated, displayed, organized, analyzed, or made available through the Platform, including drafts, analyses, research results, citations, timelines, evidence reports, summaries, writing-review comments, and other work-product materials.

Subject to these Terms, Customer may use Outputs generated for Customer through the Platform for Customer’s lawful internal and professional purposes.

Customer acknowledges that Outputs may be inaccurate, incomplete, outdated, non-unique, misleading, unavailable, or unsuitable for Customer’s intended purpose. Customer is solely responsible for reviewing, validating, approving, and using Outputs.

Customer must independently verify, among other things:

  • legal citations;
  • quoted language;
  • legal authorities;
  • factual assertions;
  • dates;
  • procedural requirements;
  • statutes and regulations;
  • calculations;
  • filing requirements;
  • evidentiary propositions; and
  • conclusions or recommendations.

4.6 No Attorney-Client Relationship

Use of the Platform does not create an attorney-client, fiduciary, agency, employment, partnership, or other professional relationship between Angus and Customer, Customer’s clients, or any other person.

If Customer is a lawyer, law firm, legal department, or legal-services provider, Customer remains solely responsible for professional obligations, including obligations concerning competence, supervision, confidentiality, privilege, conflicts, billing, client communications, client consent, records retention, and legal holds.

5. Case Memory and Persistent Context

5.1 Case Memory

The Platform may store persistent matter-associated context known as “Case Memory.” Case Memory may include extracted document content, facts, evidence-related information, timelines, prior analyses, conversation-derived information, corrections, user-saved content, and other information created or saved through authorized Platform workflows.

Case Memory may include retrieval metadata, embeddings, vector representations, and other technical data used to identify and retrieve relevant context during future Platform workflows.

5.2 Customer Controls

Available Platform controls may permit authorized users to:

  • view Case Memory entries;
  • edit or correct memory content;
  • delete individual memory entries;
  • exclude entries from future retrieval;
  • disable automatic memory creation on a per-matter basis; and
  • export Case Memory in available formats.

Feature availability may vary by plan, deployment, and Platform version.

5.3 No Guarantee of Accuracy

Case Memory may include information generated, extracted, inferred, summarized, or organized by automated processes. Customer is responsible for reviewing and correcting Case Memory before relying on it.

6. Documents, Source Files, and Exports

6.1 Original Source Files

In the ordinary document-upload workflow, Angus4Law may extract and process text from an uploaded source file without retaining the original uploaded native or source file.

The Platform may retain extracted text, metadata, page or Bates-range information where available, document chunks, Case Memory, reports, and other derived records. The Platform may retain reports or work-product files generated through the Platform.

Customer must preserve its own authoritative copies of all original documents, native files, evidence, records, and materials subject to legal-hold, preservation, chain-of-custody, or retention obligations.

6.2 No Preservation-System Substitute

The Platform is not a substitute for an evidentiary repository, legal-hold system, chain-of-custody system, native-file preservation system, electronic-discovery preservation platform, or records-retention system.

Customer must not rely on the Platform as the sole repository for original evidence or source records.

6.3 Exports

Customer may export retained Customer Data and available Platform records using available Platform functionality, subject to applicable plan limits and technical availability.

Exports may include available documents, extracted text, Outputs, reports, timeline/evidence records, Case Memory, usage records, billing reports, and other retained Platform data. Exports do not necessarily include original uploaded native or source files that Angus does not retain.

7. AI Providers and Third-Party Services

7.1 AI-Enabled Features

The Platform may use third-party artificial-intelligence service providers, including OpenAI and Anthropic, to provide requested AI-enabled functionality.

Depending on the workflow, Angus may transmit to an authorized AI provider information such as:

  • prompts;
  • selected document excerpts;
  • extracted facts;
  • Case Memory;
  • research results;
  • drafts;
  • prior Outputs;
  • Custom AI Mode instructions; and
  • other context selected for the requested workflow.

Angus uses context-selection processes intended to provide relevant information for a requested workflow. External AI providers do not receive unrestricted access to the entire Angus4Law database merely because Customer uses an AI-enabled feature.

7.2 Provider Retention

Customer acknowledges that authorized AI providers may retain inputs and outputs for limited periods under their applicable commercial-service, security, abuse-monitoring, legal-compliance, and retention practices.

Angus does not currently represent that zero-data-retention arrangements apply to all AI-provider processing.

7.3 Third-Party Services

The Platform may integrate with third-party services, APIs, research providers, payment providers, storage providers, authentication services, or other services (“Third-Party Services”).

Third-Party Services are governed by their own terms, privacy practices, availability, and restrictions. Angus does not control and is not responsible for Third-Party Services.

7.4 Customer-Authorized Research Sources

Angus4Law does not provide, sublicense, or represent that it owns a legal-research database or licensed legal-content library.

Where the Platform supports legal-research workflows, Customer may provide Customer’s own authorized credentials, subscriptions, API access, or rights for a supported research provider. Customer is solely responsible for:

  • maintaining authorized access to the research provider;
  • protecting provider credentials;
  • complying with source-provider terms and restrictions;
  • ensuring that use, storage, retrieval, analysis, display, export, and citation of source content is permitted; and
  • paying all fees owed to the provider.

Plan-based research workflow limits govern Platform capacity only. They do not grant Customer any rights in third-party legal content.

8. Fees, Billing, Tokens, and Subscriptions

8.1 Subscription Fees

Customer must pay all subscription fees, token-purchase fees, overage fees, implementation fees, and other charges identified in the applicable pricing page, checkout flow, order form, invoice, or separate agreement.

Unless otherwise stated, fees are in U.S. dollars and are non-refundable.

8.2 Payment Processing

Angus uses Stripe to process payments. Stripe, not Angus, processes payment-card information. Angus does not receive or store complete payment-card numbers.

Customer authorizes Angus and Stripe to charge the selected payment method for applicable fees, taxes, renewals, token purchases, and authorized charges.

Customer’s use of Stripe services may be subject to Stripe’s applicable terms and privacy policies.

8.3 Automatic Renewal

Unless otherwise stated in an applicable order form, subscription plans automatically renew for successive periods equal to the preceding subscription period.

Monthly subscriptions renew monthly. Annual subscriptions renew annually.

Customer may cancel through available in-application settings, the applicable Stripe customer portal, or another method Angus makes available. Cancellation takes effect at the end of the then-current paid subscription period unless otherwise stated by Angus or required by law.

8.4 No Refunds

Except where required by law or expressly stated in a separately executed agreement, payments are non-refundable. Cancellation does not entitle Customer to a refund or credit for unused subscription time, unused tokens, unused feature limits, or unused storage.

8.5 Tokens and Usage Limits

A “Token” is a unit of Platform usage measured according to the applicable technical workflow, model, input, output, retrieval context, or other processing activity.

Token counts may include, where applicable, input text, output text, selected context, workflow processing, model activity, and related system operations. Token counts may vary by model, workflow, provider, or technical implementation.

Angus may modify token-accounting methods where reasonably necessary to reflect changes in technical operations, model-provider requirements, fraud prevention, or Platform functionality. Angus will not retroactively alter a completed billing-period charge except to correct an error or comply with law.

8.6 Additional Capacity

If Customer reaches a usage or plan limit, Angus may restrict the relevant functionality until Customer:

  • purchases additional tokens or capacity;
  • upgrades to another plan;
  • enters a separate agreement; or
  • begins a new usage period.

Angus does not currently apply automatic overage charges unless Customer separately authorizes them through the Platform, an order form, or another written agreement.

8.7 Matter-Level Usage Reports

The Platform may generate matter-level token, workflow, rate, cost-allocation, and invoice-style reports based on Customer-configured data.

Those reports are informational and administrative tools only. They are not Angus invoices to Customer’s clients, do not establish an amount legally owed by a client, and do not determine whether Customer may charge, allocate, disclose, or recover any fee.

Customer is solely responsible for determining whether, how, and at what rate any Platform-related work may be billed to a client, consistent with client agreements, professional obligations, applicable law, and ethical requirements.

8.8 Taxes

Fees do not include applicable taxes, levies, duties, or similar governmental assessments. Customer is responsible for all applicable taxes other than taxes based on Angus’s net income.

9. Intellectual Property

9.1 Angus Property

Angus and its licensors retain all right, title, and interest in and to the Platform and related technology, including:

  • software;
  • source code;
  • interfaces;
  • architecture;
  • orchestration methods;
  • Functional Intelligence™ Layer;
  • system prompts;
  • workflows;
  • databases;
  • documentation;
  • designs;
  • trademarks;
  • trade secrets;
  • know-how;
  • improvements; and
  • all related intellectual-property rights.

No rights are granted except the limited license expressly stated in these Terms.

9.2 Customer Property

Customer retains rights in Customer Data as provided in Section 4.2.

Customer does not acquire ownership of Angus technology, software, system prompts, architecture, methods, models, platform improvements, or other Angus intellectual property merely because Customer uses the Platform or generates Outputs.

9.3 Feedback

If Customer provides suggestions, feedback, ideas, enhancement requests, or recommendations relating to the Platform (“Feedback”), Customer grants Angus a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that Feedback without restriction or compensation.

Customer should not provide Feedback containing confidential client information, privileged information, or sensitive Matter Data unless necessary and authorized.

9.4 Trademarks

ANGUS INTELLIGENCE® is a registered trademark of Angus Intelligence, LLC.

Angus4Law™, Functional Intelligence™, Matter Intelligence™, Angus Station™, Angus Case Sidekick™, Angus Precision Cite™, Writing Lab, and Drafting Lab are trademarks or product names of Angus Intelligence, LLC.

Customer may not use Angus names, logos, marks, or branding without Angus’s prior written permission, except for accurate nominative reference to the Platform.

10. Confidentiality

10.1 Confidential Information

“Confidential Information” means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Customer Data is Customer’s Confidential Information. Non-public Platform features, technical materials, security documentation, pricing not publicly disclosed, and non-public product plans are Angus’s Confidential Information.

10.2 Protection

The receiving party will:

  1. use the other party’s Confidential Information only as necessary to exercise rights or perform obligations under these Terms;
  2. protect it using at least reasonable care; and
  3. disclose it only to personnel, contractors, service providers, and professional advisers who need to know it and are subject to appropriate confidentiality obligations.

10.3 Exclusions

Confidential Information does not include information that the receiving party can demonstrate:

  • became publicly available without breach of these Terms;
  • was known lawfully without confidentiality restrictions before disclosure;
  • was independently developed without use of the other party’s Confidential Information; or
  • was lawfully received from a third party without confidentiality restrictions.

10.4 Required Disclosure

A receiving party may disclose Confidential Information if required by law, court order, subpoena, or governmental request, provided that it gives notice where legally permitted and reasonably cooperates with efforts to seek protective treatment.

11. Suspension and Termination

11.1 Suspension

Angus may suspend or limit access to the Platform if Angus reasonably believes that:

  • Customer has violated these Terms;
  • Customer has failed to pay fees when due;
  • Customer’s use presents a security, legal, operational, financial, or reputational risk;
  • suspension is necessary to investigate suspected misuse or a security incident;
  • suspension is required by law, court order, or governmental authority; or
  • continued use could harm the Platform, Angus, other customers, or third parties.

Where reasonably practicable, Angus will provide notice and an opportunity to cure before suspension.

11.2 Termination by Customer

Customer may terminate a self-service subscription by cancelling through available account settings or the Stripe customer portal. Termination becomes effective at the end of the paid subscription period unless otherwise agreed.

11.3 Termination by Angus

Angus may terminate these Terms or Customer’s access if Customer materially breaches these Terms and fails to cure the breach within thirty (30) days after notice.

Angus may suspend or terminate immediately for unlawful conduct, security threats, infringement, unauthorized access, fraud, repeated violations, nonpayment, or conduct that creates material harm or risk.

11.4 Effect of Termination

Upon expiration or termination:

  • Customer’s right to access and use the Platform ends;
  • Customer must stop using the Platform;
  • Customer remains responsible for accrued payment obligations;
  • Customer may retrieve or export available Customer Data during the applicable post-termination retrieval period; and
  • Angus may delete Customer Data as described below.

11.5 Retention and Deletion

Following cancellation or termination, Angus will make Customer Data available for up to ninety (90) days for retrieval or export.

After that period, Angus will delete or de-identify Customer Data from active systems, except for limited records Angus retains for billing, accounting, audit, security, legal compliance, dispute resolution, enforcement of these Terms, and system integrity.

Deleted Customer Data may remain in provider-managed backups for up to ninety (90) additional days under the applicable backup lifecycle.

Matter deletion and account termination may not remove retained billing, accounting, usage, audit, security, financial, legal-compliance, or dispute-resolution records.

12. Privacy and Security

12.1 Privacy Policy

Angus’s collection and processing of personal information is described in the Angus Privacy Policy, which is incorporated into these Terms by reference.

12.2 Security

Angus uses commercially reasonable administrative, technical, and organizational measures designed to protect Customer Data.

Angus uses TLS encryption for data in transit between browsers, Platform services, databases, and authorized AI providers.

Customer acknowledges that no service, system, or transmission method is completely secure. Angus does not guarantee that the Platform will be free from all security incidents, errors, vulnerabilities, interruptions, or unauthorized access.

12.3 Customer Security Responsibilities

Customer is responsible for:

  • securing credentials and access devices;
  • managing Authorized Users;
  • preserving original records and source files;
  • selecting appropriate data for submission;
  • maintaining its own backups and records where necessary;
  • complying with legal-hold and preservation obligations; and
  • configuring and using available Platform controls appropriately.

13. Disclaimers

13.1 Platform Provided “As Is”

Except as expressly stated in a separately executed agreement, the Platform is provided “as is” and “as available.”

To the maximum extent permitted by law, Angus disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, quiet enjoyment, and any warranty arising from course of dealing, course of performance, or trade usage.

13.2 No Output Warranty

Angus does not warrant that Outputs, Case Memory, research results, citations, document extractions, timelines, evidence reports, or other Platform results will be accurate, complete, current, error-free, unique, legally sufficient, admissible, available, or appropriate for Customer’s intended purpose.

13.3 No Availability Warranty

Angus does not warrant that the Platform will be uninterrupted, error-free, available at all times, compatible with all systems, or free of harmful components.

14. Limitation of Liability

14.1 Exclusion of Damages

To the maximum extent permitted by law, Angus and its affiliates, licensors, suppliers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, loss of data, loss of use, business interruption, or cost of substitute services, arising out of or relating to the Platform or these Terms, even if advised of the possibility of such damages.

14.2 Liability Cap

To the maximum extent permitted by law, Angus’s total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the amount paid or payable by Customer to Angus for the Platform during the twelve (12) months before the event giving rise to liability.

If Customer uses the Platform without charge, Angus’s total liability will not exceed one hundred U.S. dollars (US $100).

14.3 Basis of Bargain

The limitations in this Section are part of the basis of the bargain between Customer and Angus and apply even if a remedy fails of its essential purpose.

14.4 Non-Excludable Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

15. Customer Indemnification

Customer will defend, indemnify, and hold harmless Angus, its affiliates, licensors, service providers, officers, directors, employees, and agents from and against claims, demands, actions, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • Customer Data;
  • Customer’s or an Authorized User’s violation of these Terms;
  • Customer’s or an Authorized User’s violation of law, professional obligations, third-party rights, or contractual obligations;
  • Customer’s reliance on, use of, distribution of, or failure to review Outputs;
  • Customer’s legal services, advice, representation, billing, or client relationship;
  • Customer’s use of third-party research sources or credentials; or
  • Customer’s breach of a representation, warranty, or obligation in these Terms.

Angus will provide prompt notice of an indemnified claim, subject to the requirement that delayed notice relieves Customer only to the extent Customer is materially prejudiced. Customer will control the defense and settlement of the claim, except Customer may not settle a claim in a manner that admits Angus liability or imposes obligations on Angus without Angus’s prior written consent.

16. Governing Law and Disputes

16.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

16.2 Informal Dispute Resolution

Before filing a lawsuit, a party must provide written notice describing the dispute and the requested relief. The parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days after notice.

Notices to Angus must be sent to:

Angus Intelligence, LLC
5900 Balcones Drive, Suite 100
Austin, Texas 78731
Email: legal@angus-intelligence.com

16.3 Exclusive Venue

Except where prohibited by applicable law, any action arising out of or relating to these Terms or the Platform must be brought exclusively in:

  • the state courts located in Travis County, Texas; or
  • the United States District Court for the Western District of Texas, Austin Division.

Each party consents to personal jurisdiction and venue in those courts.

16.4 Injunctive Relief

Nothing in these Terms prevents either party from seeking temporary, preliminary, or permanent injunctive relief for actual or threatened misuse of intellectual property, Confidential Information, security controls, or Platform access rights.

17. International Access and Export Compliance

The Platform is operated from the United States. Angus does not prohibit access from outside the United States, but the Platform is not directed to jurisdictions where its use, data processing, or provision would violate applicable law.

Customer is responsible for ensuring that Customer’s use complies with applicable local laws, privacy obligations, data-transfer restrictions, export controls, and sanctions requirements.

Customer represents that Customer is not subject to sanctions or located in a jurisdiction subject to comprehensive U.S. sanctions, and will not use the Platform in violation of applicable export-control or sanctions laws.

18. Changes to the Platform and Terms

18.1 Platform Changes

Angus may modify, update, add, remove, suspend, or discontinue Platform features from time to time. Angus will use commercially reasonable efforts not to materially reduce core paid functionality during a prepaid subscription period, except where changes are necessary for security, legal compliance, technical integrity, third-party dependency changes, or prevention of misuse.

18.2 Changes to Terms

Angus may update these Terms from time to time. If Angus makes a material change, Angus will provide notice through the Platform, by email, by posting updated Terms, or through another reasonable method.

Updated Terms become effective on the stated effective date. Continued use of the Platform after that date constitutes acceptance of the updated Terms, to the extent permitted by law.

19. General Terms

19.1 Entire Agreement

These Terms, together with incorporated policies and any applicable order form or separately executed agreement, constitute the entire agreement between Customer and Angus concerning the Platform.

19.2 Order of Precedence

If there is a conflict, the following order of precedence applies:

  1. an executed Enterprise MSA, Angus Station agreement, BYOK addendum, or other negotiated written agreement;
  2. an executed order form;
  3. an applicable Data Processing Addendum;
  4. these Terms;
  5. the AI Data Use and No-Training Notice;
  6. the Privacy Policy; and
  7. other website materials.

19.3 Assignment

Customer may not assign or transfer these Terms without Angus’s prior written consent. Angus may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction.

19.4 Force Majeure

Angus is not liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, utility failures, government action, acts of third-party service providers, or widespread service outages.

19.5 Notices

Angus may provide notices through the Platform, to the email address associated with Customer’s account, or by posting notices on the Angus website.

Customer may send notices to Angus at:

Angus Intelligence, LLC
5900 Balcones Drive, Suite 100
Austin, Texas 78731
Email: legal@angus-intelligence.com

19.6 Severability

If a court finds any provision unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

19.7 Waiver

A failure to enforce a provision is not a waiver of future enforcement of that provision or any other provision.

19.8 Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, employment relationship, fiduciary relationship, or attorney-client relationship.

19.9 Survival

Sections that by their nature should survive termination will survive, including provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, fees, governing law, dispute resolution, and retained records.
